Avechos LLC is registered in the State of Ohio. These Terms of Service are governed by Ohio law, including the Ohio Revised Code and the Ohio Revised Limited Liability Company Act (ORC Chapter 1706). By accessing our website or submitting any inquiry, you agree to be bound by these Terms.

Avechos LLC ("Avechos," "we," "us," or "our") is a limited liability company registered in the State of Ohio. We provide government contract consulting services to engineering and technology companies, including but not limited to: GovCon Roadmap assessments, SAM.gov registration support, proposal writing assistance, capture management, SBIR/STTR support, program management advisory, and teaming strategy services.

2. Acceptance of Terms

By accessing or using this website, submitting any form, requesting a strategy call, or otherwise interacting with Avechos through this website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.

4. No Consulting Relationship from Website Use

Your use of this website, submission of a contact form, or participation in a free strategy call does not create a consulting, advisory, fiduciary, or attorney-client relationship between you and Avechos LLC. No consulting relationship is formed until a written engagement agreement — such as a Statement of Work (SOW) or Service Agreement — has been executed in writing and signed by both parties in accordance with Ohio contract law.

Information or general guidance shared during a free strategy call is provided for orientation purposes only and does not constitute professional consulting advice on which you should rely without a formal written engagement.

5. No Guarantee of Results

Government contracting involves complex procurement processes, agency discretion, competitive bidding, regulatory changes, and other factors entirely beyond Avechos's control. Avechos makes no representations, warranties, or guarantees — express or implied — regarding specific contract awards, proposal scores, funding amounts, revenue outcomes, timeline estimates, or any other result. Any timelines, win probabilities, or outcomes discussed verbally or in writing are general estimates based on knowledge of the federal contracting environment and do not constitute promises, warranties, or guarantees of any kind.

6. Formal Engagement Terms & Ohio Contract Law

All paid consulting engagements are governed exclusively by a written Service Agreement or Statement of Work executed between Avechos LLC and the client. Under Ohio law, written contracts are enforceable as written, and Avechos's engagement agreements constitute binding contracts governed by the Ohio Revised Code.

In the event of any conflict between these Terms of Service and a signed engagement agreement, the signed engagement agreement shall control with respect to that specific engagement. These Terms govern all website use and pre-engagement interactions.

The statute of limitations for contract claims under Ohio law is six (6) years from the date the cause of action accrued (ORC § 2305.07). Any claim arising from a formal paid engagement must be brought within this period.

7. Intellectual Property

All content on this website — including text, graphics, logos, layout, design, and underlying code — is the property of Avechos LLC and is protected by applicable U.S. and Ohio intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any website content without our prior written permission.

Work product created specifically for a client engagement is addressed in the client's written service agreement and is not subject to these general website Terms.

8. Confidentiality

Avechos treats information you share about your business, capabilities, strategies, and competitive position with discretion. We will not voluntarily disclose your confidential business information to unrelated third parties. Formal confidentiality and non-disclosure obligations for paid engagements are set forth in written engagement agreements.

Information submitted through public web forms should not include trade secrets or highly sensitive proprietary data, as web transmissions are not guaranteed to be fully secure.

9. Indemnification

You agree to indemnify, defend, and hold harmless Avechos LLC and its members, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or access to this website; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any false or misleading information you provide to Avechos. This indemnification obligation shall survive termination of your use of the website or any engagement with Avechos.

10. Limitation of Liability

Under the Ohio Revised Limited Liability Company Act (ORC Chapter 1706), Ohio strongly favors freedom of contract and the enforceability of liability limitation provisions in business-to-business agreements. In accordance with this principle and to the maximum extent permitted by Ohio and applicable federal law:

AVECHOS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST CONTRACTS, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF THIS WEBSITE OR ANY SERVICES PROVIDED BY AVECHOS, EVEN IF AVECHOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FOR CLAIMS ARISING FROM A FORMAL PAID ENGAGEMENT, AVECHOS'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO AVECHOS UNDER THE APPLICABLE ENGAGEMENT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

FOR CLAIMS ARISING SOLELY FROM USE OF THIS WEBSITE WITHOUT A PAID ENGAGEMENT, AVECHOS'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

These limitations do not apply to liability arising from Avechos's gross negligence, willful misconduct, or bad faith violation of the implied covenant of good faith and fair dealing as prohibited under ORC § 1706.08. Nothing in these Terms limits liability that cannot be limited under applicable Ohio or federal law.

THIS WEBSITE AND ALL CONTENT AND INFORMATION ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. AVECHOS DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Dispute Resolution & Mediation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of this website, the parties agree to first attempt resolution through good-faith negotiation. If the dispute is not resolved within 30 days of written notice, the parties agree to submit the matter to non-binding mediation before a mutually agreed mediator in Ohio, prior to initiating any formal legal action.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in an Ohio court of competent jurisdiction where necessary to prevent irreparable harm.

13. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of Ohio, including the Ohio Revised Code, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Ohio for the resolution of any disputes not resolved through mediation. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Our website may contain links to third-party websites including SAM.gov, SBIR.gov, Mailchimp, and other government or industry resources. These links are provided for informational convenience only. Avechos does not endorse, control, or accept responsibility for the content, privacy practices, or accuracy of any third-party sites. Your use of third-party sites is at your own risk.

15. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction in Ohio to be invalid, illegal, or unenforceable under Ohio law, that provision shall be modified to the minimum extent necessary to make it enforceable under Ohio law, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any signed written engagement agreement, constitute the entire agreement between you and Avechos LLC regarding your use of this website and any services discussed herein. These Terms supersede all prior or contemporaneous oral or written communications, proposals, or representations relating to the same subject matter. No verbal statement or representation made by any Avechos representative shall modify these Terms unless reflected in a written signed agreement executed by an authorized member of Avechos LLC.

17. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of the website following any posted changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
